These Terms of Service ("Terms") apply to your access to and use of our websites (AcceptCrypto.us and AcceptCrypto.net), mobile applications and other online products and services (collectively, the "Accept Crypto Services" or "Services") provided by Accept Crypto LLC ("Accept Crypto", "AC", "we" or "us"). PLEASE READ THESE TERMS CAREFULLY, INCLUDING THE MANDATORY ARBITRATION PROVISIONS AND CLASS ACTION WAIVER IN SECTION 17, WHICH MAY AFFECT YOUR LEGAL RIGHTS.

We may supply different or additional terms (including, but not limited to, the terms of social media services, third-party payment processors, and third-party fulfillment providers) in relation to some of our Services, and those different or additional terms become part of your agreement with us if you use those Services. If there is a conflict between these Terms and the additional terms, the additional terms will control for that conflict.

We may make changes to these Terms from time to time. If we make changes, we will provide you with notice of such changes, such as by sending an email, providing a notice through our Services, or updating the date at the top of these Terms. Unless we say otherwise in our notice, the amended Terms will be effective immediately, and your continued use of our Services after we provide such notice will confirm your acceptance of the changes. YOU FURTHER AGREE THAT THE AMENDED TERMS SHALL APPLY RETROACTIVELY TO ALL INTERACTIONS BETWEEN US AND YOU GOING FORWARD. SUCH APPLICATION SHALL INCLUDE, BUT IS NOT LIMITED TO, APPLICATION OF THE AMENDMENTS IN SECTION 17 REGARDING CONSOLIDATION OF DISPUTES, WHICH SHALL APPLY TO ANY DISPUTE(S) ARISING PRIOR TO YOUR AGREEMENT TO THE AMENDED TERMS, WHETHER OR NOT NOTICE OF SUCH DISPUTE WAS PROVIDED, OR ARBITRATION WAS INITIATED, PRIOR TO YOUR AGREEMENT TO THE AMENDED TERMS. If you do not agree to the amended Terms, you must stop using our Services.

From time to time Accept Crypto introduces new features that may only be available to certain users. Provisions of these Terms of Service relating to new features may not apply to all users.

For information about how we collect, use, share and otherwise process information about you, please see our Privacy Policy. By agreeing to these Terms, you also acknowledge that you have been provided notice of our Privacy Policy.

To use most of our Services, you need to connect to our website using a third party cryptocurrency wallet, and you are bound by the terms of that wallet provider (e.g. MetaMask, Trust Wallet, Coinbase, etc.) when using cryptocurrency on our website.

You must be at least 18 years of age to use our Services.

If you are registering to use the Accept Crypto Services on behalf of a legal entity, you represent and warrant that: (a) such legal entity is duly organized and validly existing under the applicable laws of the jurisdiction of its organization, and (b) you are authorized by such legal entity to act on its behalf.

If you use our Services on behalf of another person or entity: (a) all references to "you" throughout these Terms will include that person or entity, (b) you represent that you are authorized to accept these Terms on that person's or entity's behalf, and (c) in the event you or the person or entity violates these Terms, the person or entity agrees to be responsible to us.

Additionally, in order to use the Services, you must not: (a) have previously been suspended or removed from using the Accept Crypto Service; and (b) be violating any other agreement to which you are a party by agreeing to these Terms.

You may need to register for an Accept Crypto Cash register/POS (“AC account”) to access some or all of our Services. If you register for any AC account in connection with the Services, you must provide accurate account information and promptly update this information if it changes. You also must maintain the security and confidentiality of your login credentials, and promptly notify us if you discover or suspect that someone has accessed your account without your permission. Additionally, you may only register for an AC account if you are legally permitted to.

The Accept Crypto Services allow you to post items in the category of products, services, access, rentals, downloads, donations, or tips. You can post items through your AC account. AC accounts, item credits, and transaction credits can be purchased from the @AcceptCrypto account links (https://acceptcrypto.us/buy-pos/, https://acceptcrypto.us/buy-items/, and https://acceptcrypto.us/buy-transactions/, respectively) or from authorized AC resellers and affiliates.

If you are registering to use the Accept Crypto Services on behalf of a legal entity, you represent and warrant that: (a) such legal entity is duly organized and validly existing under the applicable laws of the jurisdiction of its organization, and (b) you are authorized by such legal entity to act on its behalf.

When a buyer agrees to pay in crypto a price for an item posted for sale on the Services, Accept Crypto facilitates a wallet-to-wallet transfer from the buyer’s wallet directly to the seller’s wallet in the currency and amount selected by the buyer as long as the seller has transaction credits available. Accept Crypto Services work on a prepaid, crediting system such that no additional fees to AC are added to the purchase transaction at time of purchase. Transaction credits are deducted from the seller’s AC account upon purchase. For most transactions, only one transaction credit is required for AC to facilitate the wallet-to-wallet purchase transfer. If more transaction credits are required for a single item posted, Accept Crypto will notify the seller in their AC account.

If a buyer and seller agree, the transfer of the tangible or non-tangible items sold are exchanged in-person (or through another buyer-seller agreed upon method such as via digital download, delivery, or drop-off) that is outside of the Accept Crypto Services. The details of such exchange are made directly between the buyer and the seller when they complete their transaction, pursuant to terms they determine. Accept Crypto is not a party to such transactions in any way aside from providing a digital receipt of the blockchain cryptocurrency transfer made from the buyer wallet to the seller wallet. Because the blockchain transaction is made directly from the buyer’s wallet to the seller’s wallet and Accept Crypto is not part of the item transfer process from seller to buyer, AC cannot assist with refunds or returns related to such transactions in any manner. Since Accept Crypto is not a party or involved in item deliveries, you acknowledge we cannot be held liable for any claims that arise out of it.

By posting any type of item on Accept Crypto, you are solely responsible for ensuring that the content of your listing complies with all applicable local, state, and federal laws and regulations, including but not limited to any required licenses, certifications, insurance requirements , or consumer protection laws related to the type of services offered. Accept Crypto does not endorse, guarantee, or verify the quality, safety, or credentials of any items offered through the platform.

Accept Crypto is not a party to the delivery method of items from seller to buyer on completion of payment transaction. This exchange is solely conducted between buyers and sellers. Whether the buyers and sellers agree to in-person pickup or delivery, downloadable delivery, shipping services, or other method of item exchange, Accept Crypto is not liable for any losses, damages, or delays related to the exchange of items from seller to buyer upon completion of payment. Buyers purchase any items from sellers at their own risk. Accept Crypto recommends safety guidelines are used for any in-person pickups and deliveries.

You agree not to use the Accept Crypto Services to buy or sell any type of items that violate United States laws and regulations or, if outside the United States, your local laws and regulations.

Accept Crypto may, at its sole discretion, remove any item posting at any time and for any reason, without providing prior notice.

Making or accepting payment using the Accept Crypto Services requires you maintain an account with a third party cryptocurrency wallet provider (e.g. MetaMask, Trust Wallet, Coinbase, etc.). By providing your wallet account information, you are agreeing to be bound by your wallet provider’s terms of use. Accept Crypto is not a party to your wallet provider’s terms of use and is not responsible for the cryptocurrency services provided by your wallet provider.

You are responsible for any sales, use, duty, or other governmental taxes or fees due with respect to your purchase or sale through the Services.

The ownership of an AC account and the choice to accept cryptocurrency as payment exclusively vests with you after analyzing all possible risk factors and by exercising your own independent discretion. You are responsible for understanding and adhering to all legal, business, and financial laws and regulations involved with buying and selling items in exchange for cryptocurrency within the United States and within any other local jurisdiction where you operate your AC account from.

Our Services allow you and other users to create, post, store and share content, including but not limited to messages, text, photos, graphics, videos, software, code, company logo or marks, service descriptions, and other materials (collectively, "User Content"). Except for the license you grant below, you retain all rights in and to your User Content, as between you and Accept Crypto.

You grant Accept Crypto a perpetual, irrevocable, nonexclusive, royalty-free, worldwide, fully paid, and sublicensable license to use, reproduce, modify, adapt, publish, translate, create derivative works from, distribute, publicly perform and display your User Content and any name, username or likeness provided in connection with your User Content in all media formats and channels now known or later developed without compensation to you. The use of your or any other user's name, likeness, or identity in connection with the Accept Crypto Services does not imply any endorsement thereof unless explicitly stated otherwise. When you post or otherwise share User Content on or through our Services, you understand that your User Content and any associated information (such as your username or AC account photos) may be visible to others. Accept Crypto uses third parties to provide services such as facilitation of wallet-to-wallet crypto transaction processing. When you provide User Content in connection with these third party tools, you may be sharing User Content with these third parties.

You may not create, post, store or share any User Content that violates these Terms or for which you do not have all the rights necessary to grant us the license described above. You represent and warrant that your User Content, and our use of such content as permitted by these Terms, will not violate any rights of or cause injury to any person or entity. You will not (and will not allow or authorize any third-party to) post, upload to, transmit, distribute, store, create, solicit, disclose, or otherwise publish through the Accept Crypto Services any User Content that:

Accept Crypto assumes no responsibility to actively monitor User Content and does not endorse any User Content. Although Accept Crypto has no obligation to screen, edit or monitor User Content, we may delete or remove User Content at any time and for any reason with or without notice.

You will not violate any applicable law, contract, intellectual property right or other third-party right or commit a tort while using our Services, and you are solely responsible for your conduct while using our Services. Without limiting the forgoing, you will not:

If you engage in any of the conduct described above or similar conduct, Accept Crypto may suspend or terminate your right to access the Services. Enforcement of this Section 6 is solely at Accept Crypto's discretion, and failure to enforce this section in some instances does not constitute a waiver of our right to enforce it in other instances. In addition, this Section 6 does not create any private right of action on the part of any third party or any reasonable expectation that the Services will not contain any content that is prohibited by such rules.

The Services, including the text, graphics, images, photographs, videos, illustrations and other content contained therein, are owned by Accept Crypto or our licensors and are protected under both United States and foreign laws. Except as explicitly stated in these Terms, all rights in and to the Services are reserved by us or our licensors. Subject to your compliance with these Terms, you are hereby granted a limited, nonexclusive, nontransferable, non-sublicensable, revocable license ("License") to access and use our Services.

Accept Crypto may revoke or terminate your License to access or use the Accept Crypto Services for any reason without notice at Accept Crypto's sole discretion. Without limiting the generality of the foregoing, we may revoke or terminate the License if you: (i) breach any obligation in these Terms or in any other agreement between you and us, (ii) violate any policy or guideline applicable to the Accept Crypto Services, or any other Accept Crypto product or service, or (iii) use the Accept Crypto Services other than as specifically authorized in these Terms, without our prior written permission. You will stop accessing or using the Accept Crypto Services immediately if Accept Crypto suspends or terminates your License to access or use the Accept Crypto Services. Accept Crypto reserves the right, but does not undertake any duty, to take appropriate legal action including the pursuit of civil, criminal, or injunctive redress against you for continuing to use the Accept Crypto Services during suspension or after termination. Accept Crypto may recover its reasonable attorneys' fees and court costs from you for such action. These Terms will remain enforceable against you while your License to access or use the Accept Crypto Services is suspended and after it is terminated.

You may voluntarily post, submit or otherwise communicate to us any questions, comments, suggestions, ideas, original or creative materials or other information about Accept Crypto or our Services (collectively, "Feedback"). You understand that we may use such Feedback for any purpose, commercial or otherwise, without acknowledgment or compensation to you, including, without limitation, to develop, copy, publish, or improve the Accept Crypto Services by using the Feedback in Accept Crypto's sole discretion. You understand that Accept Crypto may treat Feedback as non-confidential.

You may report alleged intellectual property rights violations or counterfeit items to Accept Crypto by emailing us at contact@acceptcrypto.us. Please note that if you knowingly misrepresent that any activity or material on our Services is infringing, you may be liable to Accept Crypto for certain costs and damages.

You agree to defend, indemnify, and hold us harmless, including our subsidiaries, affiliates, and all of our respective officers, agents, partners, and employees (individually and collectively, the “AC Parties”), from and against any loss, damage, liability, claim, or demand, including reasonable attorneys' fees and expenses, made by any third party due to or arising out of: (1) use of the Services; (2) breach of these Terms of Service; (3) any breach of your representations and warranties set forth in these Terms of Service; (4) your violation of the rights of a third party, including but not limited to intellectual property rights; or (5) any overt harmful act toward any other user of the Services. Notwithstanding the foregoing, we reserve the right, at your expense, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate, at your expense, with our defense of such claims. We will use reasonable efforts to notify you of any such claim, action, or proceeding which is subject to this indemnification upon becoming aware of it.

YOU ACKNOWLEDGE AND AGREE THAT THERE ARE RISKS ASSOCIATED WITH UTILIZING AN INTERNET-BASED MARKETPLACE, ACCEPTING CRYPTOCURRENCIES AS PAYMENT, AND INTERACTING WITH OTHER USERS IN PERSON. WE DO NOT INVESTIGATE OR VERIFY ANY USER'S REPUTATION, CONDUCT, MORALITY, CRIMINAL BACKGROUND, OR ANY INFORMATION USERS MAY SUBMIT TO THE SERVICES. YOU ARE SOLELY RESPONSIBLE FOR TAKING ALL NECESSARY PRECAUTIONS WHEN INTERACTING WITH OTHER USERS, PARTICULARLY WHEN MEETING A STRANGER IN PERSON FOR THE FIRST TIME. IT IS POSSIBLE THAT OTHER USERS MAY ATTEMPT TO PHYSICALLY HARM OR DEFRAUD YOU OR OBTAIN INFORMATION FROM YOU FOR FRAUDULENT PURPOSES. YOU ARE SOLELY RESPONSIBLE FOR, AND ASSUME ALL RISKS RELATED TO, SELLING AND BUYING THROUGH ACCEPT CRYPTO'S SERVICES (INCLUDING ALL ONLINE AND OFFLINE INTERACTIONS WITH OTHER USERS).

ACCEPTING CRYPTOCURRENCIES FOR PAYMENT IN COMMERCE AND BUYING, SELLING, AND HOLDING CRYPTOCURRENCIES IN GENERAL ARE ACTIVIES THAT ARE SUBJECT TO HIGH MARKET RISK. THE VOLATILE AND UNPREDICTABLE NATURE OF THE PRICE OF CRYPTOCURRENCIES MAY RESULT IN A SIGNIFICANT LOSS. ACCEPT CRYPTO IS NOT RESPONSIBLE FOR ANY LOSS THAT YOU MAY INCUR FROM PRICE FLUCTUATIONS WHEN YOU BUY, SELL, OR HOLD CRYPTOCURRENCIES IN THE ENGAGEMENT OF COMMERCE WITH OUR SERVICES. IT IS YOUR RESPONSIBILITY TO ADHERE TO ALL BUSINESS, TAX, AND FINANCIAL LAWS AND REGULATIONS SUBJECT TO YOUR JURISDICTION AND USE OF ACCEPT CRYPTO.

To the fullest extent permitted by applicable law, you release Accept Crypto and the other AC Parties from responsibility, liability, claims, demands and/or damages (actual and consequential) of every kind and nature, known and unknown (including, but not limited to, claims of negligence), arising out of or related to disputes between users, buyers and sellers, and the acts or omissions of third parties. If you are a consumer who resides in California, you hereby waive your rights under California Civil Code § 1542, which provides: "A general release does not extend to claims which the creditor does not know or suspect to exist in his or her favor at the time of executing the release, which if known by him or her must have materially affected his or her settlement with the debtor."

In order for us to provide our Services, you agree that we may process, transfer and store information about you in the United States where you may not have the same rights and protections as you do under local law.

Except for any disputes, claims, suits, actions, causes of action, demands or proceedings (collectively, "Disputes") in which your or Accept Crypto seeks injunctive or other equitable relief for the alleged unlawful use of intellectual property, including, without limitation, copyrights, trademarks, trade names, logos, trade secrets or patents, you and Accept Crypto (i) waive your and the Accept Crypto 's respective rights to have any and all Disputes arising from or related to these Terms resolved in a court, and (ii) waive your and Accept Crypto's respective rights to a jury trial. Instead, you and Accept Crypto will arbitrate Disputes through binding arbitration (which is the referral of a Dispute to one or more persons charged with reviewing the Dispute and making a final and binding determination to resolve it instead of having the Dispute decided by a judge or jury in court).

Any Dispute arising out of or related to these Terms is personal to you and Accept Crypto and will be resolved solely through individual arbitration and will not be brought as a class arbitration, class action or any other type of representative proceeding. There will be no class arbitration or arbitration in which an individual attempts to resolve a Dispute as a representative of another individual or group of individuals. Further, a Dispute cannot be brought as a class or other type of representative action, whether within or outside of arbitration, or on behalf of any other individual or group of individuals.

The arbitration shall be commenced and conducted under the Commercial Arbitration Rules of the American Arbitration Association ("AAA") and, where appropriate, the AAA's Supplementary Procedures for Consumer Related Disputes ("AAA Consumer Rules"), both of which are available at the AAA website www.adr.org.

Your arbitration fees and your share of arbitrator compensation shall be governed by the AAA Consumer Rules and, where appropriate, limited by the AAA Consumer Rules. The arbitration may be conducted in person, through the submission of documents, by phone, or online. The arbitrator will make a decision in writing, but need not provide a statement of reasons unless requested by either you or Accept Crypto. The arbitrator must follow applicable law, and any award may be challenged if the arbitrator fails to do so. Except where otherwise required by the applicable AAA rules or applicable law, the arbitration will take place in the location of our choosing. Except as otherwise provided herein, you or Accept Crypto may litigate in court to compel arbitration, stay proceedings pending arbitration, or to confirm, modify, vacate, or enter judgment on the award entered by the arbitrator. If for any reason, a Dispute proceeds in court rather than arbitration, the Dispute shall be commenced or prosecuted in the state and federal courts located in Clark County, Nevada, and you and Accept Crypto hereby consent to, and waive all defenses of lack of personal jurisdiction, and forum non conveniens with respect to venue and jurisdiction in such state and federal courts.

In no event shall any Dispute brought by either you or Accept Crypto related in any way to the Services be commenced more than 1 year after the cause of action arose. If this provision is found to be illegal or unenforceable, then neither you or Accept Crypto will elect to arbitrate any Dispute falling within that portion of this provision found to be illegal or unenforceable and such Dispute shall be decided by a court of competent jurisdiction within the courts listed for jurisdiction above, and the you or Accept Crypto agree to submit to the personal jurisdiction of that court.

Except to the extent of any applicable law provided otherwise, the Terms of Service and any access to or use of our websites and Services will be governed by the laws of the state of Nevada in the United States of America. The proper venue for any disputes arising out of or relating to the Terms of Service and any access to or use of our Services will be in the courts located in Clark County, Nevada.

We reserve the right, in our sole discretion, to make changes or modifications to these Terms of Service at any time and for any reason. We will alert you about any changes by updating the "Last updated" date of these Terms of Service, and you waive any right to receive specific notice of each such change. It is your responsibility to periodically review these Terms of Service to stay informed of updates. You will be subject to, and will be considered to have been made aware of and to have accepted, the changes in any revised Terms of Service by your continued use of the website after the date such revised Terms of Service are posted.

We reserve the right to suspend or stop providing all or portions of our Services at any time. You also have the right to stop using our Services at any time. We are not responsible for any loss or harm related to your inability to access or use our Services.

If any provision or part of a provision of these Terms is unlawful, void or unenforceable, that provision or part of the provision is deemed severable from these Terms and does not affect the validity and enforceability of any remaining provisions.

The failure of Accept Crypto to exercise or enforce any right or provision of these Terms will not operate as a waiver of such right or provision. The section titles in these Terms are for convenience only and have no legal or contractual effect. Except as otherwise provided herein, these Terms are intended solely for the benefit of the parties and are not intended to confer third-party beneficiary rights upon any other person or entity. You agree that communications and transactions between us may be conducted electronically. Accept Crypto is an independent contractor for all purposes and is not your agent or trustee. You are not an agent of Accept Crypto.
